Terms of Service

1. Acceptance of Terms

By accessing or using the ImpactNexa website (impactnexa.com) and its services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all visitors, users, affiliates, advertisers, and others who access or use the Services.

2. Description of Services

ImpactNexa operates a cost-per-action (CPA) affiliate network that connects affiliates (publishers) with advertisers in the dating vertical. Our Services include providing access to advertising offers, tracking technology, payment processing, and related tools and support.

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Affiliate Terms

As an affiliate, you agree to the following:

• You will only promote offers using approved traffic sources and methods as specified for each offer
• You will not engage in any fraudulent, deceptive, or misleading practices, including but not limited to: click fraud, bot traffic, incentivized traffic (unless explicitly approved), cookie stuffing, brand bidding, or misrepresentation of offers
• You will comply with all applicable laws and regulations in your jurisdiction, including but not limited to CAN-SPAM, GDPR, and CCPA
• You will not promote offers on websites that contain illegal content, malware, or content that violates the rights of third parties
• ImpactNexa reserves the right to withhold payment and/or terminate your account if fraudulent or non-compliant activity is detected
• You understand that ImpactNexa may adjust, reverse, or void conversions that are determined to be fraudulent or non-compliant

5. Advertiser Terms

As an advertiser, you agree to the following:

• You represent that you have the legal right to offer and promote the products or services listed on ImpactNexa
• You will provide accurate and up-to-date information about your offers, including payout rates, conversion requirements, and restrictions
• You will pay all amounts owed to ImpactNexa in accordance with the agreed-upon payment terms
• You will not alter offer terms, payout rates, or caps without providing reasonable notice to ImpactNexa

6. Payments

For affiliates: Payments are processed weekly on NET-7 terms, provided the minimum payout threshold has been reached. ImpactNexa supports multiple payment methods including PayPal, wire transfer, cryptocurrency, Paxum, and Capitalist. ImpactNexa reserves the right to hold payments pending review of traffic quality. In cases of confirmed fraud, ImpactNexa may forfeit earned commissions.

For advertisers: Payment terms will be agreed upon during the onboarding process and detailed in a separate insertion order or agreement.

7. Intellectual Property

The Services and all content, features, and functionality thereof are owned by ImpactNexa and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without prior written consent.

8. Prohibited Activities

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Submit false, inaccurate, or misleading information
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Use any automated means, including robots, crawlers, or scrapers, to access the Services
• Engage in any activity that could damage, disable, overburden, or impair the Services

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Any outstanding payments owed to you will be processed in accordance with our standard payment schedule, provided no violations of these Terms have occurred.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ImpactNexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.

11. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. ImpactNexa expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless ImpactNexa, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ImpactNexa operates, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Continued use of the Services after any changes constitutes acceptance of the new Terms.
